1. About us and these terms
CloudPilot is operated by Iraya Digitech Ltd, a private limited company registered in England and Wales under company number 16795896, whose registered office is at 167-169 Great Portland Street, 5th Floor, London, England, W1W 5PF ("CloudPilot", "we", "us"). You can contact us at hello@cloudpilot.app.
These Terms of Service ("Terms"), together with our Acceptable Use Policy, our Privacy Policy and our Data Processing terms, form the agreement between us and the organisation that creates the account ("you"). If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind it.
CloudPilot is provided for business use. If you are a consumer, nothing in these Terms affects your statutory rights.
2. The service
CloudPilot is a hosting platform and control panel for Odoo. It lets you create and manage servers, deploy Odoo instances, run backups, manage domains and certificates, deploy custom modules, create staging copies and monitor servers, through a web dashboard and a REST API (the "Service").
Servers either run in a cloud account that you connect (such as AWS, Google Cloud, Microsoft Azure, DigitalOcean, Hetzner, Vultr or Akamai), on a machine you add over SSH, or, on the Starter plan, on a server we provide and share between Starter customers. We may improve, change or withdraw features from time to time. If we remove a material feature of a paid plan, we will tell you in advance.
3. Your account
- You must give accurate information when you sign up and keep it up to date.
- You are responsible for everything done under your account, including by team members and API keys you create. Keep passwords and API keys secure and tell us promptly at hello@cloudpilot.app if you suspect unauthorised access.
- Team members and client accounts you create are covered by these Terms, and you are responsible for their use of the Service.
4. Your cloud accounts, servers and software
- Your providers. When you connect a cloud provider or add a server, you authorise us to use the credentials you supply to create, configure and manage servers and related resources on your behalf. You remain the customer of your cloud provider, and you are responsible for its charges and for complying with its terms.
- Odoo licences. Odoo Community is open-source software. Odoo Enterprise is licensed by Odoo S.A., and you must hold a valid subscription to use it. We are not affiliated with Odoo S.A. and are not responsible for its software or licensing.
- Third-party services. Integrations such as GitHub, cloud providers and storage providers are governed by their own terms. We are not responsible for their availability or acts.
- Your server, your control. You keep root access to servers in your own accounts. Changes you make outside CloudPilot may affect how the Service works, and we are not responsible for problems they cause.
5. Plans, fees and payment
- Our plans and prices are shown on our pricing page. Paid plans are billed monthly in advance unless agreed otherwise. Prices exclude VAT and other applicable taxes, and exclude your cloud provider's charges.
- Free trials last for the period shown when you sign up. When a trial ends, the account can be viewed but not changed until a paid plan is chosen. Trials are provided as they are and may be changed or withdrawn with reasonable notice.
- If a payment fails, we will tell you. If it remains unpaid 14 days after that notice, we may suspend paid features until it is paid.
- We may change our prices by giving you at least 30 days' notice. The new price applies from your next billing period after the notice ends. If you don't agree, you can cancel before then.
- Fees are non-refundable except where these Terms or the law say otherwise.
6. Acceptable use
You must use the Service in line with our Acceptable Use Policy and all applicable laws. We may suspend access, in proportion to the problem and with notice where practical, if your use breaches that policy or puts the Service, other customers or third parties at risk.
7. Your data and data protection
- You own your data, including your Odoo databases, files, modules and backups ("Customer Data"). You grant us a licence to host, copy, process and transmit Customer Data only as needed to provide the Service and as you instruct.
- Where we process personal data on your behalf, we act as your processor under the UK GDPR, and our Data Processing terms form part of these Terms. Our Privacy Policy explains how we use personal data as a controller.
- You are responsible for having a lawful basis for any personal data you put into the Service and for the content of your Odoo databases.
8. Backups
The Service includes backup features, but you remain responsible for choosing backup schedules, retention and storage, and for checking that your backups can be restored. We recommend keeping an offsite copy in storage you control.
9. Intellectual property
We and our licensors own all rights in the Service, including the software, dashboard, API and documentation. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. Feedback you give us may be used without obligation to you.
10. Availability and support
We aim to keep the Service available and to fix problems promptly, but we do not guarantee uninterrupted or error-free operation unless we agree a service level with you in writing. Planned maintenance will be kept to a minimum. Odoo instances on your servers keep running when the CloudPilot dashboard is unavailable. Support is provided as described for your plan.
11. Confidentiality
Each party will keep the other's confidential information secret, use it only for the purposes of this agreement, and disclose it only to people who need to know it and are bound by similar obligations, or where the law requires.
12. Warranties
We will provide the Service with reasonable skill and care. Except as set out in these Terms, the Service is provided without other warranties, conditions or terms, express or implied, to the fullest extent the law allows.
13. Limitation of liability
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
- Subject to that, neither party is liable for any loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Subject to that, each party's total liability arising under or in connection with these Terms in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim, or £100 if greater.
- We are not responsible for the acts or omissions of your cloud provider, Odoo S.A., or other third parties, or for loss caused by your own changes to servers, credentials or configuration.
14. Indemnity
You will indemnify us against third-party claims arising from Customer Data, or from your use of the Service in breach of the Acceptable Use Policy or the law.
15. Term, cancellation and termination
- These Terms continue until your account is closed. You can cancel a paid plan at any time from the dashboard or by contacting us, and cancellation takes effect at the end of the current billing period.
- Either party may end the agreement immediately by notice if the other commits a material breach that is not remedied within 14 days of being notified, or becomes insolvent.
- When the agreement ends, servers in your own accounts and the Odoo instances on them keep running, and you can remove the CloudPilot agent. Backups held in CloudPilot storage remain downloadable for 30 days, after which we delete them, unless the law requires us to keep them. An Odoo instance on a CloudPilot shared server (Starter) stays available for 30 days so you can download a backup, after which we delete it.
- Sections that by their nature should survive, including 7, 9, 11, 13, 14 and 17, survive termination.
16. Changes to these terms
We may update these Terms. We will give you at least 30 days' notice of material changes by email or in the dashboard. If you keep using the Service after the changes take effect, you accept them. If you don't agree, you can cancel before they take effect.
17. General
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer them to a group company or a successor to our business.
- Entire agreement. These Terms and the documents they refer to are the entire agreement between us about the Service.
- Third parties. No one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
- Severance and waiver. If any provision is found invalid, the rest remain in force. A delay in enforcing a right is not a waiver of it.
- Notices. We send notices to your account email address. You can send notices to hello@cloudpilot.app or our registered office.
- Governing law and jurisdiction. These Terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
